Professor Leonard Sealy has spent almost the last fifty years studying and teaching law in Cambridge. A good proportion of his time has been occupied with matters relating to company law. Len Sealy's contribution to this area of the law has been profound, not only in the UK, but also throughout the Commonwealth and elsewhere. As a scholar, teacher, author, law reformer and even draftsman his contribution to the refinement and improvement of structures, rules and most importantly to ideas has never been less than significant. Therefore the occasion of his retirement as the first SJ Berwin Professor of Corporate Law in the University of Cambridge has afforded a number of leading company lawyers from around the world, many being his former students or colleagues, an opportunity to address a series of important legal issues in the law relating to companies and associated areas of commercial law and practice, in his honour. Under the editorship of Professor Barry Rider, the Director of the Institute of Advanced Legal Studies, and a colleague of Professor Sealy for over twenty years, an outstanding series of papers have been brought together addressing current issues within The Realm of Company Law, as diverse as the governance of enterprises, the rights and responsibilities of management, the protection of investors, minority shareholder protection, the solvency of companies and the impact of technology on commercial practice.
