This book provides an accessible introduction to syndicated loan agreements in English law and practice. It covers the key concepts of English contract law which are relevant to commercial lending transactions; loan facility agreements; syndicated lending; and loan transfers.
Based on parts of the leading work McKnight, Paterson, and Zakrzewski on the Law of International Finance, 2e, this new book is an accessible introduction to loan agreements in English law and practice. The book focusses on loan agreements, syndicates of lenders and trading providing the core areas with which newcomers to banking and finance law must familiarize themselves and which often require research.

The book opens with an overview of English contract law setting out the key concepts and principles relevant to commercial lending transactions. There is a section on loan facility agreements which explains the structure and typical provisions of loan agreements, and the relevant law and its application to those agreements. In the section on syndicated lending, legal issues arising from the relationship within a group of lenders are analysed and problem areas are tackled. Potential claims, by borrowers against the arrangers of a syndicate and its agent are also analysed, including the very important issue of possible protection against such claims. The final part of the book explains the legal and practical issues surrounding trading in parts of loans on the secondary market.

Dr Rafal Zakrzewski is a solicitor (admitted in Australia in 1999 and in England & Wales in 2003) specialising in corporate finance with an emphasis on complex lending transactions. He has practised with Clifford Chance since 2003 and recently worked at the European Bank for Reconstruction and Development as a Senior Counsel and Associate Director. Rafal was a University Lecturer in Corporate Law and Transactions at the University of Cambridge, where he established a graduate course on corporate transactions, and has taught at St Hugh's College at the University of Oxford. He is an editor of McKnight, Paterson, & Zakrzewski on the Law of International Finance, author of Remedies Reclassified on English private law remedies, co-author of The Law of Rescission and a contributor to International Acquisition Finance (all published by OUP). He is also a contributor to the Encyclopaedia of Banking Law and Gore-Browne on Companies. Geoffrey Fuller is a consultant and former partner in the International Capital Markets department of Allen & Overy LLP, advising on debt capital markets issuance. His particular areas of expertise include public sector debt, structured finance, social housing finance, liability management, Islamic finance and advising corporate trustees. He graduated with an MA from Oxford University, and was admitted as a solicitor in 1986. He is the author of Corporate Borrowing - Law and Practice and The Law and Practice of International Capital Markets, and of three chapters in Gore-Browne on Companies.
